SOFTWARE LICENSE AGREEMENT

Closed-Source, Commercial License

This Software License Agreement (the "Agreement") is entered into by and between you (the "Licensee") and Modula Market, the licensor of the software (the "Licensor").

1. GRANT OF LICENSE

The Licensor hereby grants to the Licensee a limited, non-exclusive, non-transferable license to:

Use, modify and distribute the Software for business or personal purposes, provided that the code is transformed into a minified and mangled compiled version. You are not permitted to distribute the software in its unmodified source code form. Any distribution must be in a form that is not human-readable.

2. RESTRICTIONS

The Licensee agrees not to:

  • Redistribute or distribute the Software, or any modified version of the Software, in a form that is not minified and mangled, including but not limited to electronic transmission, physical media, or as part of a software-as-a-service offering.

  • Sell, license, or transfer the Software, or any modified version of the Software, in a form that is not minified and mangled, to any third party.

  • Publicly release, publish, or otherwise make available any source code, modifications, or improvements to the Software, including but not limited to open-source repositories, code sharing platforms, or other public means of distribution.

  • Not reverse-engineer, decompile, or disassemble the software unless explicitly permitted by applicable law.

3. INTELLECTUAL PROPERTY RIGHTS

The Software is licensed, not sold, to you. The Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. Nothing in this Agreement transfers any ownership or proprietary rights in the Software to you.

4. NO WARRANTY

The Software is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not guarantee that the Software will meet your requirements or be error-free.

5. TERMINATION

This license will remain in effect until terminated by the Licensor. The Licensor may terminate this license if the Licensee violates any of the terms of this Agreement. Upon termination, the Licensee must immediately cease all use of the Software and destroy all copies in their possession.

6. NO OBLIGATION TO PROVIDE SUPPORT

The Licensor is not obligated to provide any support, updates, enhancements, or modifications to the Software.

7. COMMERCIAL USE

The Licensee is granted the right to use the Software for commercial purposes, provided that such use does not violate the restrictions outlined in this Agreement. Commercial use includes deploying the Software in production environments, but does not allow redistribution, sublicensing, or making the Software available to third parties.

8. GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of Australia, Victoria, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Australia, Victoria.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, or representations, whether oral or written, with respect to such subject matter.

By using or modifying the Software, you acknowledge and agree to be bound by the terms of this Agreement.
